Aldeyra Therapeutics, Inc. Proposes Public Offering of Common Stock

LEXINGTON, Mass., February 13, 2017 – Aldeyra Therapeutics, Inc. (Nasdaq:ALDX) (Aldeyra), a biotechnology company focused on the development of products to treat diseases related to aldehydes, today announced that it intends to offer and sell shares of its common stock in an underwritten public offering. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. Aldeyra also expects to grant the underwriters a 30-day option to purchase additional shares of common stock. All of the shares in the offering are to be sold by Aldeyra, with net proceeds to be used for the continued development of Aldeyra’s lead compound, ADX-102, and other product candidates, including further clinical testing of ADX-102, as well as for research and development activities, working capital and other general corporate purposes.

Stifel and Canaccord Genuity are acting as joint book-running managers and Laidlaw & Company (UK) Ltd. is acting as the lead manager for the offering.

A shelf registration statement on Form S-3 relating to the public offering of the shares of common stock described above was filed with the Securities and Exchange Commission (SEC) and declared effective by the SEC on September 1, 2015.
